合格投资者声明

Quantum Star Co., Ltd. 已正式获得柬埔寨王国证券交易监管局（SERC）的许可，获准在 XP 交易平台上开展运营。

此许可系在 金融科技监管沙盒机制（Fintech Regulatory Sandbox）下授予，表明 XP 交易平台承诺遵守由 SERC 颁布的相关法律法规，也体现出我们在受监管框架内，致力于打造安全、可信数字资产交易环境的共同承诺。

根据适用法规，所有 XP 交易平台用户必须符合《2016 年8月17日第005/16号公告》所定义的“合格投资者”标准（SERC公布的《证券领域合格投资者》规范）。

根据上述公告，合格投资者需至少符合以下任一条件：

• 净资产总额不少于 10 亿瑞尔（约合 250,000 美元）；
• 年收入不少于 8,000万瑞尔（约合 20,000 美元）；
• 在柬埔寨证券市场的投资金额不少于 1 亿瑞尔（约合 25,000 美元）。

为在 XP 平台进行交易，所有用户必须充分理解数字资产交易所包含的风险，并明确承认其自身已具备“合格投资者”的基本资质与条件

Qualified Investor Consent

Quantum Star Co., Ltd. has officially received permission from the Securities and Exchange Regulator of Cambodia (SERC) in the Kingdom of Cambodia to operate on the XP trading platform, a digital asset trading platform.

This approval granted under the Fintech Regulatory Sandbox confirms the XP trading platform's commits to comply with the laws and regulations as established by the SERC. It reflects our shared commitment to ensuring a secure and trustworthy trader within the recognized Fintech Regulatory Sandbox.

In accordance with applicable regulations, all users of the XP Trading Platform must qualify as "Qualified Investors" as defined under Prakas No. 005/16 of the SERC, dated August 17, 2016, titled “Qualified Investors in the Securities Sector.”

According to the SERC Prakas, qualified investors are defined as individuals who meet at least one of the following criteria:

• Total net assets of at least 1,000,000,000 (one billion) riels or
• Annual income of at least 80,000,000 (eighty million) riels or
• Investment participation in the securities sector in the Kingdom of Cambodia of at least 100,000,000 (one hundred million) riels.

To trade on the XP platform, all traders must understand the risks of trading digital assets and acknowledge that they are qualified investors with sufficient characteristics.
