第一条 定义
“我们”、“我方”、“我们的”：指“XP”。
“您”、“您的”：指客户或持有XP账户的个人，以下称为“用户”。
“第三方服务提供商”：指与XP存在服务分发关系的任何个人或组织，服务可通过XP自有平台直接提供，亦可通过外部网站或应用程序间接提供。
“用户名”：指用于访问XP网站或服务的唯一身份标识，须在初始激活过程中创建，并为后续登录所必需。
“个人信息”：指用户向XP提供的详细信息，包括但不限于姓名、国家身份号码（NID）、出生日期、电话号码、电子邮箱地址及居住地址。
“协议”：指XP与用户之间所确立的服务条款，规范用户对XP服务的使用。用户一旦访问或使用XP服务，即表示同意受本协议条款的约束。
“服务”：指XP通过其网站、应用程序或其他授权平台所提供的任何产品、功能、服务或支持。
第二条 引言
在注册成为XP用户之前，您（即“用户”）应特别注意仔细阅读本《XP平台服务条款》（以下简称“本协议”），以确保您已充分理解本协议的全部条款。请您认真阅读，并自行决定是否接受本协议。一旦您进行注册、登录、使用等行为，即视为您已接受并同意受本协议约束。若您不同意，或对本协议条款有任何疑问，应立即停止XP用户注册流程，并可选择不使用本网站的服务。
本协议明确XP与用户之间关于XP服务（以下简称“服务”）的权利与义务关系。“用户”系指注册、登录并使用本服务的个人或实体。XP可在任何时间更新本协议，更新后的条款一经发布即取代原有条款，且不另行通知。如用户不同意修订后的条款，应立即停止使用XP提供的服务。若继续使用XP服务，则视为已接受更新后的协议内容。
第三条 资格
仅限年满18周岁、具有完全民事行为能力的自然人，或具有合法资格的法人或其他法律主体，方可与XP签署用户协议并使用XP账户。您仅可在符合法律授权的前提下使用XP账户，并依照本协议条款及适用于您的相关服务进行合法查询及操作。
您同意，确保通过XP提供的信息真实、完整、准确并及时更新是您的责任。若您未履行该义务，您本人及您的监护人将对所造成的后果承担全部责任。XP有权取消您的注册，并因其因此遭受的任何损失，向您及您的监护人追偿。
第四条 用户的声明与保证
4.1用户在注册时有义务提供其真实的个人信息，并确保包括手机号、姓名、所在地等内容的有效性与安全性，以便XP工作人员可通过上述联系方式与用户取得联系。用户亦有义务在相关注册资料发生变更时，及时更新。
4.2用户在使用XP服务期间所创建、上传、复制、发布或共享的任何内容——包括但不限于其个人资料照片、用户名、个人简介、注册或认证信息，以及通过账户或服务发布的消息、评论、图像、视频、音频、图形、链接等——均须遵守国家法律。本协议适用柬埔寨法律，并包括但不限于用户居住国的法律。
在访问或使用XP服务时，您必须确认自身未被列入任何贸易或经济制裁清单。XP有权决定其服务的运营地区，并可在特定国家限制或停止服务。本协议受柬埔寨法律以及您所在国家的法律约束。如您被禁用，XP有权限制您访问服务。
4.3用户不得利用XP账户或服务发布或共享任何干扰XP正常运行或损害其他用户或第三方权益的内容，包括但不限于：
含有性或性暗示内容；
辱骂性、威胁性或恐吓他人的内容；
骚扰、垃圾信息、误导性或有害的内容；
他人的私人信息或个人数据；
侵犯他人合法权益的内容，包括但不限于名誉权、形象权、知识产权或商业秘密；
干扰服务正常运行或以任何方式造成他人损害的内容。
5. 关于服务
XP是一个在线平台，允许用户买卖加密代币、数字代币或加密货币等数字产品。XP仅作为交易方之间的中介，不直接买卖任何资产。为开始交易，用户必须完成注册、开立账户并充值数字资产。只要遵守服务条款，用户可随时申请提取其数字资产。
XP致力于保持其网站信息的准确性，但不保证所有内容始终一致、正确、可靠或完整。因使用或依赖所提供信息所造成的任何直接或间接损失，XP不承担责任。
XP可随时更新或修改其网站信息以提升用户体验，恕不另行通知。XP不提供投资建议，对于网站或其他平台中展示的内容或观点亦不承担责任。用户在使用XP服务前，应充分了解交易中可能存在的风险。XP鼓励所有用户理性、谨慎地进行交易。
XP致力于保障平台安全并持续提供服务。如因维护或技术原因需暂停系统，XP将提前通知用户。然而，对于不可控事件导致的服务中断（如自然灾害、不可抗力、政府行为、网络攻击、恐怖活动或其他突发情况），XP不承担责任。
XP有权取消、撤销或关闭平台上的任何异常或可疑交易。XP绝不会向用户索取密码，也不会要求用户在平台上转移资产。用户不得允许他人使用其账户访问XP服务。接收优惠、折扣或促销信息时请保持警惕，以防诈骗。XP对因此类情况造成的任何损失或损害不承担责任。使用XP服务即表示您已阅读、理解并接受服务条款中的全部信息，并确认其准确完整。
第六条 XP账户设置与注册要求
要使用本网站，请访问 https://xp.com 注册并创建一个新的XP账户。在注册过程中，您需要提供您的真实姓名、个人信息、居住地址、身份证件或注册编号、电子邮件地址以及密码。您还需要同意《服务条款》与《隐私政策》。在某些情况下，我们有权拒绝用户注册或拒绝创建账户。
用户名与身份验证
通过注册XP服务并开立账户，您同意提供您的个人信息。此类信息将用于协助检测和防止在XP平台上发生的洗钱、恐怖融资、欺诈、诈骗及其他金融犯罪行为。我们也可能由我们或通过第三方直接联系您，以验证您的身份并防范上述非法活动。
为完成身份验证，我们将收集您的部分信息，包括但不限于您的全名、电子邮件地址、联系方式、电话号码、用户名以及国家身份号码。
当您提供所有所需信息后，您的信息将被视为已验证。若注册后您的任何信息发生变化，您必须及时更新并重新验证。您有责任确保通过XP服务提供的所有信息均真实、完整、准确并保持最新。
若XP发现您提供的信息存在错误、虚假、过时或不完整的情况，我们可要求您进行更新或删除，或暂停、取消全部或部分服务。
若我们无法通过您提供的信息与您取得联系，您将自行承担由此产生的任何损失或费用。因此，保持您的信息更新是您的责任。如信息变更，您同意通过发送邮件至 contact@xp.com 向我们提供经主管机关认证的更新信息副本。
第七条 账户使用
7.1 为更好地使用本协议项下服务，用户可以注册XP账户，并在注册后妥善保管账户及密码，对通过该账户进行的所有操作及相关行为承担责任。
7.2 用户在注册XP账户时，应根据注册页面的要求如实、完整填写相关注册信息，并及时更新，确保从注册之日起至账户注销期间，所填写信息始终真实、有效，不得存在任何错误、虚假或违法内容。无论用户是否公开，其因信息错误、虚假或违法所产生的一切后果均由用户承担。
7.3 无论用户以何种方式注册账户，账户所有权均归XP所有。用户仅拥有在完成注册流程后对该账户的使用权，且该使用权仅限初始注册人本人。初始注册人不得将账户以任何方式出借、转让、出租、出售或许可他人使用；非初始注册人不得通过赠与、继承、租赁、转让等方式使用该账户。
7.4 用户有责任妥善保管账户信息及密码，并对所注册账户及通过密码所进行的行为承担法律责任。用户同意在任何情况下不向他人透露账户及密码信息。如用户怀疑其账户及密码被他人使用，应立即通知XP。
7.5 如用户长期未登录账户，或在多个终端上同时登录使用同一账户，或存在违反本协议及XP其他单独协议的行为，XP有权收回该账户，用户对此所引发的任何损失自行负责。
7.6 在注册及使用服务过程中，我们可能会收集与您有关的地理位置、语言与时区、设备型号等信息，以构建非直接的用户画像。请注意，以上信息将以去标识化方式收集与使用，数据分析结果不会关联至具体用户身份。
第八条信息安全
8.1 本应用账户具备安全保护功能。您有责任妥善保管用户名与密码信息。XP不对您账户下的任何操作行为承担责任。本应用通过对用户密码加密等方式实施安全措施，以防止您的信息被丢失、滥用或篡改。但请注意，信息网络上不存在“完美的安全措施”。
8.2 当您使用本应用网络服务进行在线交易时，难以避免会向交易相对方或潜在相对方披露个人信息，例如联系方式或邮寄地址。请妥善保护您的个人信息，仅在必要时提供。如您发现个人信息，尤其是应用账户的用户名及密码被泄露，请立即联系本应用的客服，以便及时采取应对措施。
8.3 XP采用业界通行的安全措施保护用户账户中的资金。然而，用户账户管理方式仍存在一定风险。请您自行采取措施保护个人信息及账户信息，防止未经授权的访问或滥用XP账户。
8.4 您同意以下事项：
若怀疑他人正在使用您的账户或存在任何安全问题，立即通知XP；
遵守XP关于登录、交易、充值、提币等方面的全部安全规则与操作指引；
在使用网站后，务必妥善退出账户。
如因您未遵循上述安全措施而导致损失或损害，XP不承担任何责任。
第九条Cookie使用
9.1 为提升访问体验，当您访问我们的网站或使用我们提供的服务时，我们可能通过小型数据文件识别您的身份，从而省去您重复输入注册信息的步骤，或用于判断您的账户安全性。此类数据文件包括Cookies、Flash Cookies或您的浏览器或相关应用提供的其他本地存储（统称为“Cookies”）。

第十条服务变更与中断

10.2 XP需定期或不定期地对提供网络服务的平台进行检测或更新，因此导致网络服务在合理期间内中断的，XP不承担任何责任。
10.3 为提升用户体验及服务内容，XP将不时提供软件更新，可能包括软件替换、修改、功能增强及版本升级。XP不保证旧版本软件及其相关客户服务的持续可用性，建议用户及时下载最新版本。
第十一条争议处理与适用法律
XP建立了完善的争议解决机制，以及时、公正地处理交易者投诉与纠纷。交易者可通过电子邮件、网站或电话直接联系XP。
用户可通过XP客户支持获得高效问题解决服务。XP配备了专职支持人员，将响应每一位用户的请求。
凡与本协议或服务相关的任何争议，包括侵犯他人权益、违反法律法规、异常交易行为或服务条款未明确提及的事项，均应提交至柬埔寨王国进行仲裁。仲裁程序将依据国家商业仲裁中心（NCAC）仲裁规则进行，相关规则视为本协议组成部分。
仲裁将由单一仲裁员处理，程序使用英语进行。本协议适用柬埔寨法律。您同意承担与争议解决相关的全部费用。
第十二条XP服务访问与使用指南
作为用户，在使用XP服务时应遵守以下条款与条件：
确保使用XP服务过程中遵守相关法律、法规及监管指引；
避免实施损害公共利益、伦理道德或他人合法权益的行为；
不逃避应缴税费，不违反本协议或适用法规；
不利用XP服务从事任何被禁止的商业活动；
不进行与XP服务相关的欺诈或恶意行为。
用户对因违反上述条款所产生的任何法律后果承担全部责任，亦须赔偿因该等行为使XP遭受的全部损失与费用。
用户严禁在未经XP事先书面许可的情况下，将网站上的任何信息或内容用于商业用途。所有用户须遵守《服务条款》与《隐私政策》，不得干扰或破坏XP的正常运营，并应遵守柬埔寨王国的适用法律。禁止行为包括但不限于：
使用任何设备或软件干扰XP网站的正常运行；
发送过多请求信息，导致网络基础设施过载或受压；
参与影响市场完整性或公平性的买卖行为。
通过访问和使用XP服务，您确认并同意：如发生上述任何违反行为，XP有权无需事先通知或征得用户同意，即采取适当措施，包括但不限于：
暂停或延迟订单请求的处理；
暂时或永久冻结用户账户；
向相关司法或监管机构报告该等违反行为；
披露违规行为及XP所采取的应对措施；
移除与违规行为相关或由用户发布的任何内容；
若用户行为造成第三方损害，用户应承担全部法律责任，并赔偿XP因此遭受的任何损害、罚款或附加费用。
如因用户违反协议而引发第三方索赔，或XP因监管或行政行为导致损失或受罚，相关责任用户应全额赔偿XP所有相关费用与损失，包括法律费用及律师费用。
第十三条服务费用
XP保留向访问或使用其服务的用户收取服务费用的权利。该类费用的金额与结构由XP自行决定。
第十四条责任
服务条款
XP按照“现状”与“可用性”原则提供服务，适用于实际情形及商业用途，不就服务技术的可靠性、稳定性、准确性或完整性作出任何保证。XP仅作为访问币种信息及促成币种交易的平台存在，不监督亦不保证任何币种的质量、安全性或合法性，也不验证交易详情的准确性或交易方履约能力。用户应在使用XP服务前，审慎评估相关投资决策的风险、交易详情、逻辑依据及法律影响。
责任限制
通过使用服务，您确认并同意XP不对下列任何情形造成的损失承担责任，包括但不限于：
利润、商誉、使用权、数据或其他无形损失的丧失；
因无法使用XP服务或关于XP服务的决策所导致的损失；
第三方对账户的未经授权访问或对用户信息的篡改；
用户对XP服务的误解或误用；
任何非XP直接造成的损失，以及与XP服务相关的间接损失。
XP在任何情况下均不对因不可控事件导致的服务中断或延迟承担责任，包括但不限于电力故障、自然灾害、第三方服务问题、政府行为或常规网络维护。
此外，XP及其关联方、股东、董事、管理人员、员工、法律代表、代理人、供应商及承包商，不对本协议项下所提供的任何商业服务、开发者资源或其他材料承担任何责任。
赔偿
通过签署本协议，您确认并同意：如违反本协议，您应对由此产生的所有损失承担全部赔偿责任，包括法律费用及监管机构施加的任何罚款。您亦同意就因违反适用法律、法规或第三方权利而引起的任何责任，为XP及其关联方、承包商、许可方、董事、员工及代理人提供赔偿并使其免责。
第十五条公告
所有官方公告、新闻、促销活动及竞赛信息将通过官网 https://xp.com 发布。因用户未及时查阅或未根据公告内容采取行动所导致的任何损失或损害，XP不承担任何责任。
第十六条服务终止
16.1 XP在以下情形下有权终止向用户提供服务：
(1) 若您违反本服务协议中的条款，XP有权停止向您提供服务。若您尝试重新注册——无论是以您本人名义、他人名义或其他方式注册——一经XP发现，有权再次立即终止向您提供服务。
(2) XP通过您注册时提供的联系方式尝试与您取得联系，若发现该联系方式已无法使用，XP将尝试通过其他方式联系您。若您在被通知后三个工作日内仍未更新联系方式，XP有权终止服务。
(3) 用户不得通过软件或人工方式作弊或伪造活动数据。如XP发现用户存在作弊行为，将立即停止服务，并可保留用户账户内的资产。
(4) 一旦XP发现用户所提供的数据或信息包含虚假内容，即有权随时终止向该用户提供服务。
(5) 在服务条款终止或更新时，若用户明确表示不接受新的服务条款。
(6) XP认为出于其他必要情形应终止服务的情况。
16.2 一旦服务终止，XP没有义务保留用户旧账户中的任何信息，亦无需向用户或任何第三方发送任何未读取或未发出的消息或数据。
16.3 用户理解并同意，即使本协议终止且服务中止，XP仍有权：
(1) 保留用户信息；
(2) 对用户在使用XP服务期间违反法律或本协议及平台规则的行为依法追究责任。
第十七条 账户关闭后的剩余资产
若因洗钱、欺诈或违反服务条款（如被禁止后仍继续在XP交易）等原因而关闭账户，XP将对该账户进行锁定，并可向相关执法机关披露用户信息。
第十八条 关于不再支持的虚拟资产的通知
如用户交易的某种加密货币或通证在XP平台上不再支持，且该币种的余额低于最低提币限额，XP将按照下架当日的汇率将该余额兑换为稳定币，并将兑换后的金额记入用户的XP账户。
第十九条 遵守国内法律法规
用户在使用XP服务期间，必须遵守其所在国家/地区的适用法律，包括履行与税务有关的所有义务，如纳税、代扣代缴、报税等。通过使用XP，用户确认其资金来源合法，且非通过非法手段取得。XP保留与全球执法机关合作的权利，若用户处于调查之中，XP可关闭或注销其账户与资产。
第二十条 隐私政策
XP有权随时修改本隐私政策的任何内容。一旦本《XP平台服务条款》中的任何内容发生变更，XP将通过适当方式提示用户进行更新。若您继续使用我们的服务，即表示您同意接受修订后的隐私政策的约束。
第二十一条 免责声明与赔偿声明
21.1 若XP已说明其服务内容发生变更并提醒用户注意相关事项，用户未按要求履行义务所导致的后果由用户自行承担。
21.2 用户明确同意，其使用XP服务完全出于其本人意愿和责任，由此产生的一切后果亦由其自行承担。
21.3 用户同意维护XP及其他用户的合法权益。若用户因违法、不实、不当行为，或侵犯第三方合法权益，或违反本协议项下任何条款而造成XP或任何第三方的损失，用户同意承担全部赔偿责任。
第二十二条 不可抗力
因XP无法控制的事件或情况而导致的任何服务损失或延误，XP不承担责任。此类情况包括但不限于：洪水、地震、极端天气、自然灾害、火灾、战争、内乱、罢工、疫情、劳资纠纷、事故、政府行为、通信或电力中断、设备故障、软件失效或网络攻击。
第二十三条 服务条款的修改
23.1 XP保留随时修改本《XP平台服务条款》任何条款的权利。若本服务条款发生任何变更，XP将通过适当方式告知用户。
23.2 若用户不同意XP对服务条款所做的修改，用户有权停止使用网络服务。
23.3 若用户继续使用网络服务，即视为用户接受XP对服务条款所作的修改。

通過註冊XP服務並開立帳戶，您同意提供您的個人資訊。此類資訊將用於協助檢測和防止在XP平臺上發生的洗錢、恐怖融資、欺詐、詐騙及其他金融犯罪行為。我們也可能由我們或通過第三方直接聯繫您，以驗證您的身份並防範上述非法活動。
為完成身份驗證，我們將收集您的部分資訊，包括但不限於您的全名、電子郵件地址、聯繫方式、電話號碼、用戶名以及國家身份號碼。
當您提供所有所需資訊後，您的資訊將被視為已驗證。若註冊後您的任何資訊發生變化，您必須及時更新並重新驗證。您有責任確保通過XP服務提供的所有資訊均真實、完整、準確並保持最新。
若XP發現您提供的資訊存在錯誤、虛假、過時或不完整的情況，我們可要求您進行更新或刪除，或暫停、取消全部或部分服務。
若我們無法通過您提供的資訊與您取得聯繫，您將自行承擔由此產生的任何損失或費用。因此，保持您的資訊更新是您的責任。如資訊變更，您同意通過發送郵件至 contact@xp.com 向我們提供經主管機關認證的更新資訊副本。
第七條 帳戶使用
7.1 為更好地使用本協議項下服務，用戶可以註冊XP帳戶，並在註冊後妥善保管帳戶及密碼，對通過該帳戶進行的所有操作及相關行為承擔責任。
7.2 用戶在註冊XP帳戶時，應根據註冊頁面的要求如實、完整填寫相關註冊資訊，並及時更新，確保從註冊之日起至帳戶註銷期間，所填寫資訊始終真實、有效，不得存在任何錯誤、虛假或違法內容。無論用戶是否公開，其因資訊錯誤、虛假或違法所產生的一切後果均由用戶承擔。
7.3 無論用戶以何種方式註冊帳戶，帳戶所有權均歸XP所有。用戶僅擁有在完成註冊流程後對該帳戶的使用權，且該使用權僅限初始註冊人本人。初始註冊人不得將帳戶以任何方式出借、轉讓、出租、出售或許可他人使用；非初始註冊人不得通過贈與、繼承、租賃、轉讓等方式使用該帳戶。
7.4 用戶有責任妥善保管帳戶資訊及密碼，並對所註冊帳戶及通過密碼所進行的行為承擔法律責任。用戶同意在任何情況下不向他人透露帳戶及密碼資訊。如用戶懷疑其帳戶及密碼被他人使用，應立即通知XP。
7.5 如用戶長期未登錄帳戶，或在多個終端上同時登錄使用同一帳戶，或存在違反本協議及XP其他單獨協議的行為，XP有權收回該帳戶，用戶對此所引發的任何損失自行負責。
7.6 在註冊及使用服務過程中，我們可能會收集與您有關的地理位置、語言與時區、設備型號等資訊，以構建非直接的用戶畫像。請注意，以上資訊將以去標識化方式收集與使用，數據分析結果不會關聯至具體用戶身份。
第八条資訊安全
8.1 本應用帳戶具備安全保護功能。您有責任妥善保管用戶名與密碼資訊。XP不對您帳戶下的任何操作行為承擔責任。本應用通過對用戶密碼加密等方式實施安全措施，以防止您的資訊被丟失、濫用或篡改。但請注意，資訊網絡上不存在“完美的安全措施”。
8.2 當您使用本應用網路服務進行線上交易時，難以避免會向交易相對方或潛在相對方披露個人資訊，例如聯繫方式或郵寄地址。請妥善保護您的個人資訊，僅在必要時提供。如您發現個人資訊，尤其是應用帳戶的用戶名及密碼被洩露，請立即聯繫本應用的客服，以便及時採取應對措施。
8.3 XP採用業界通行的安全措施保護用戶帳戶中的資金。然而，用戶帳戶管理方式仍存在一定風險。請您自行採取措施保護個人資訊及帳戶資訊，防止未經授權的訪問或濫用XP帳戶。
8.4 您同意以下事項：
若懷疑他人正在使用您的帳戶或存在任何安全問題，立即通知XP；
遵守XP關於登錄、交易、充值、提幣等方面的全部安全規則與操作指引；
在使用網站後，務必妥善退出帳戶。
如因您未遵循上述安全措施而導致損失或損害，XP不承擔任何責任。
第九条Cookie使用
9.1 為提升訪問體驗，當您訪問我們的網站或使用我們提供的服務時，我們可能通過小型數據檔識別您的身份，從而省去您重複輸入註冊資訊的步驟，或用於判斷您的帳戶安全性。此類數據檔包括Cookies、Flash Cookies或您的流覽器或相關應用提供的其他本地存儲（統稱為“Cookies”）。

10.2 XP需定期或不定期地對提供網路服務的平臺進行檢測或更新，因此導致網路服務在合理期間內中斷的，XP不承擔任何責任。
10.3 為提升用戶體驗及服務內容，XP將不時提供軟體更新，可能包括軟體替換、修改、功能增強及版本升級。XP不保證舊版本軟體及其相關客戶服務的持續可用性，建議用戶及時下載最新版本。
第十一条爭議處理與適用法律
XP建立了完善的爭議解決機制，以及時、公正地處理交易者投訴與糾紛。交易者可通過電子郵件、網站或電話直接聯繫XP。
用戶可通過XP客戶支持獲得高效問題解決服務。XP配備了專職支持人員，將回應每一位用戶的請求。
凡與本協議或服務相關的任何爭議，包括侵犯他人權益、違反法律法規、異常交易行為或服務條款未明確提及的事項，均應提交至柬埔寨王國進行仲裁。仲裁程式將依據國家商業仲裁中心（NCAC）仲裁規則進行，相關規則視為本協議組成部分。
仲裁將由單一仲裁員處理，程式使用英語進行。本協議適用柬埔寨法律。您同意承擔與爭議解決相關的全部費用。
第十二条XP服務訪問與使用指南
作為用戶，在使用XP服務時應遵守以下條款與條件：
確保使用XP服務過程中遵守相關法律、法規及監管指引；
避免實施損害公共利益、倫理道德或他人合法權益的行為；
不逃避應繳稅費，不違反本協議或適用法規；
不利用XP服務從事任何被禁止的商業活動；
不進行與XP服務相關的欺詐或惡意行為。
用戶對因違反上述條款所產生的任何法律後果承擔全部責任，亦須賠償因該等行為使XP遭受的全部損失與費用。
用戶嚴禁在未經XP事先書面許可的情況下，將網站上的任何資訊或內容用於商業用途。所有用戶須遵守《服務條款》與《隱私政策》，不得干擾或破壞XP的正常運營，並應遵守柬埔寨王國的適用法律。禁止行為包括但不限於：
使用任何設備或軟體干擾XP網站的正常運行；
發送過多請求資訊，導致網路基礎設施超載或受壓；
參與影響市場完整性或公平性的買賣行為。
通過訪問和使用XP服務，您確認並同意：如發生上述任何違反行為，XP有權無需事先通知或征得用戶同意，即採取適當措施，包括但不限於：
暫停或延遲訂單請求的處理；
暫時或永久凍結用戶帳戶；
向相關司法或監管機構報告該等違反行為；
披露違規行為及XP所採取的應對措施；
移除與違規行為相關或由用戶發佈的任何內容；
若用戶行為造成第三方損害，用戶應承擔全部法律責任，並賠償XP因此遭受的任何損害、罰款或附加費用。
如因用戶違反協議而引發第三方索賠，或XP因監管或行政行為導致損失或受罰，相關責任用戶應全額賠償XP所有相關費用與損失，包括法律費用及律師費用。
第十三条服務費用
XP保留向訪問或使用其服務的用戶收取服務費用的權利。該類費用的金額與結構由XP自行決定。
第十四条責任
服務條款
XP按照“現狀”與“可用性”原則提供服務，適用於實際情形及商業用途，不就服務技術的可靠性、穩定性、準確性或完整性作出任何保證。XP僅作為訪問幣種資訊及促成幣種交易的平臺存在，不監督亦不保證任何幣種的品質、安全性或合法性，也不驗證交易詳情的準確性或交易方履約能力。用戶應在使用XP服務前，審慎評估相關投資決策的風險、交易詳情、邏輯依據及法律影響。
責任限制
通過使用服務，您確認並同意XP不對下列任何情形造成的損失承擔責任，包括但不限於：
利潤、商譽、使用權、數據或其他無形損失的喪失；
因無法使用XP服務或關於XP服務的決策所導致的損失；
第三方對帳戶的未經授權訪問或對用戶資訊的篡改；
用戶對XP服務的誤解或誤用；
任何非XP直接造成的損失，以及與XP服務相關的間接損失。
XP在任何情況下均不對因不可控事件導致的服務中斷或延遲承擔責任，包括但不限於電力故障、自然災害、第三方服務問題、政府行為或常規網路維護。
此外，XP及其關聯方、股東、董事、管理人員、員工、法律代表、代理人、供應商及承包商，不對本協議項下所提供的任何商業服務、開發者資源或其他材料承擔任何責任。
賠償
通過簽署本協議，您確認並同意：如違反本協議，您應對由此產生的所有損失承擔全部賠償責任，包括法律費用及監管機構施加的任何罰款。您亦同意就因違反適用法律、法規或第三方權利而引起的任何責任，為XP及其關聯方、承包商、許可方、董事、員工及代理人提供賠償並使其免責。
第十五条公告
所有官方公告、新聞、促銷活動及競賽資訊將通過官網 https://xp.com 發佈。因用戶未及時查閱或未根據公告內容採取行動所導致的任何損失或損害，XP不承擔任何責任。
第十六条服務終止
16.1 XP在以下情形下有權終止向用戶提供服務：
(1) 若您違反本服務協議中的條款，XP有權停止向您提供服務。若您嘗試重新註冊——無論是以您本人名義、他人名義或其他方式註冊——一經XP發現，有權再次立即終止向您提供服務。
(2) XP通過您註冊時提供的聯繫方式嘗試與您取得聯繫，若發現該聯繫方式已無法使用，XP將嘗試通過其他方式聯繫您。若您在被通知後三個工作日內仍未更新聯繫方式，XP有權終止服務。
(3) 用戶不得通過軟體或人工方式作弊或偽造活動數據。如XP發現用戶存在作弊行為，將立即停止服務，並可保留用戶帳戶內的資產。
(4) 一旦XP發現用戶所提供的數據或資訊包含虛假內容，即有權隨時終止向該用戶提供服務。
(5) 在服務條款終止或更新時，若用戶明確表示不接受新的服務條款。
(6) XP認為出於其他必要情形應終止服務的情況。
16.2 一旦服務終止，XP沒有義務保留用戶舊賬戶中的任何資訊，亦無需向用戶或任何第三方發送任何未讀取或未發出的消息或數據。
16.3 用戶理解並同意，即使本協議終止且服務中止，XP仍有權：
(1) 保留用戶資訊；
(2) 對用戶在使用XP服務期間違反法律或本協議及平臺規則的行為依法追究責任。
第十七條 帳戶關閉後的剩餘資產
若因洗錢、欺詐或違反服務條款（如被禁止後仍繼續在XP交易）等原因而關閉帳戶，XP將對該帳戶進行鎖定，並可向相關執法機關披露用戶資訊。
第十八條 關於不再支持的虛擬資產的通知
如用戶交易的某種加密貨幣或通證在XP平臺上不再支持，且該幣種的餘額低於最低提幣限額，XP將按照下架當日的匯率將該餘額兌換為穩定幣，並將兌換後的金額記入用戶的XP帳戶。
第十九條 遵守國內法律法規
用戶在使用XP服務期間，必須遵守其所在國家/地區的適用法律，包括履行與稅務有關的所有義務，如納稅、代扣代繳、報稅等。通過使用XP，用戶確認其資金來源合法，且非通過非法手段取得。XP保留與全球執法機關合作的權利，若用戶處於調查之中，XP可關閉或註銷其帳戶與資產。
第二十條 隱私政策
XP有權隨時修改本隱私政策的任何內容。一旦本《XP平臺服務條款》中的任何內容發生變更，XP將通過適當方式提示用戶進行更新。若您繼續使用我們的服務，即表示您同意接受修訂後的隱私政策的約束。
第二十一條 免責聲明與賠償聲明
21.1 若XP已說明其服務內容發生變更並提醒用戶注意相關事項，用戶未按要求履行義務所導致的後果由用戶自行承擔。
21.2 用戶明確同意，其使用XP服務完全出於其本人意願和責任，由此產生的一切後果亦由其自行承擔。
21.3 用戶同意維護XP及其他用戶的合法權益。若用戶因違法、不實、不當行為，或侵犯第三方合法權益，或違反本協議項下任何條款而造成XP或任何第三方的損失，用戶同意承擔全部賠償責任。
第二十二條 不可抗力
因XP無法控制的事件或情況而導致的任何服務損失或延誤，XP不承擔責任。此類情況包括但不限於：洪水、地震、極端天氣、自然災害、火災、戰爭、內亂、罷工、疫情、勞資糾紛、事故、政府行為、通信或電力中斷、設備故障、軟體失效或網路攻擊。
第二十三條 服務條款的修改
23.1 XP保留隨時修改本《XP平臺服務條款》任何條款的權利。若本服務條款發生任何變更，XP將通過適當方式告知用戶。
23.2 若用戶不同意XP對服務條款所做的修改，用戶有權停止使用網路服務。
23.3 若用戶繼續使用網路服務，即視為用戶接受XP對服務條款所作的修改。

1.DEFINITIONS
The words ‘We’, ‘us’, ‘our’, ‘ours’: refers to “XP”.
The words “you,” “your,” and “yours”: refer to the customer or the individual holding an XP account, referred to as the “User.”
Third Party Provider: refers to any individual or organization that has a relationship with XP to distribute services, either directly via XP’s own platforms or indirectly through external websites or applications.
Username: is the unique identifier used to access XP’s website or services. It must be created during the initial activation process and is required for future logins.
Personal Information: refers to the details you provide to XP, which may include, but are not limited to, your name, national identity number (NID), date of birth, phone number, email address, and residential address.
Agreement: refers to the terms and conditions established between XP and the User, which govern the use of XP’s services. By accessing or using XP’s services, the User agrees to be bound by these terms.
Service: refers to any product, feature, functionality, or support provided by XP, whether accessed through its website, application, or other authorized platforms.
2.INTRODUCTION
You (the User) are hereby specifically reminded to read this XP User Service Agreement ("Agreement") carefully before registering as a XP User to ensure that you fully understand the terms of this Agreement. Please read it carefully and choose to accept or not. By registering, logging in, using, etc., you will be deemed to have accepted and agreed to be bound by the terms of this Agreement. If you do not agree, or if you have any questions about the terms of this Agreement, you should immediately discontinue the XP user registration process and may choose not to use the services on the Site.
This Agreement sets out the rights and obligations between XP and the User in relation to the XP Service (hereinafter referred to as the "Service"). The term "User" refers to the person or entity that registers, logs in and uses the Service. This Agreement may be updated by XP at any time, and the updated terms and conditions shall replace the original terms and conditions of the Agreement upon publication without notice. If the user does not accept the revised terms and conditions, he/she should immediately stop using the services provided by XP and if his/her continued use of the services provided by XP will be deemed to be acceptance of the revised agreement.
3.ENTITLEMENT
Only individuals, legal entities, or other legal persons who are over 18 years old and have full legal capacity are allowed to enter into a User Agreement with XP and use an XP account. You may only use an XP account to make valid service-related inquiries on accounts you are legally authorized to access, in accordance with the Terms of this Agreement and any services that applicable to you. You agree that it is your responsibility to ensure that any information you provide through XP is true, complete, accurate, and kept up to date. If you fail to meet this obligation, you and your guardian will be fully accountable for your actions. XP reserves the right to cancel your registration and seek compensation from you and your guardian for any damages it may incur as a result.
4.REPRESENTATIONS AND WARRANTIES OF USER
4.1 The user is obliged to provide true information about himself when registering and to ensure the validity and security of the contents such as mobile phone number, name, location, etc., so that XP staff can contact the user through the above-mentioned contact details. The user is also obliged to update the relevant registration data as soon as the relevant data actually changes.
4.2 Any content the User creates, uploads, copies, posts, or shares while using XP - such as their profile picture, username, bio, registration or verification details, as well as messages, comments, images, videos, audio, graphics, links, and anything else shared through the account or services - must follow the laws of the country. Agreement is subject to the Cambodian laws including but not limited to the laws of the country of residence of the User.
You must confirm that you are not on any trade or economic sanctions list when you access or use the XP service. XP has the right to choose where it operates and can limit or stop its services in certain countries. This agreement follows Cambodian law, as well as the laws of the country where you live. If you are banned, XP has the right to block your access to its services.
4.3 Users must not use their XP account or the Service to post or share anything that disrupts how XP works or harms the rights of other users or third parties. This includes content that:
Is sexual or sexually explicit.
Is abusive, threatening, or meant to scare others.
Includes harassment, spam, or misleading or harmful messages.
Shares someone else's private information or personal data.
Violates others’ legal rights, like their reputation, image, intellectual property, or business secrets.
Interferes with the proper use of the Service or harms others in any way.
5.ABOUT THE SERVICE
XP is an online platform that enables the buying and selling of digital products such as cryptographic tokens, digital tokens, or cryptocurrencies. XP only acts as a middleman between traders and does not buy or sell these assets itself. To start trading, users must register, open an account, and deposit their digital assets. Traders can request to withdraw their digital assets at any time, as long as they follow the Terms of Service.
XP works to keep the information on its website accurate, but it cannot guarantee that all content is always consistent, correct, reliable, or complete. XP is not responsible for any direct or indirect damages that may result from using or relying on the information provided.
XP may update or change the information on its website at any time to improve user experience, without giving prior notice. XP does not offer investment advice and is not responsible for any content or opinions shared on its website or other platforms. Before using the XP service, Users should fully understand the risks involved in trading. XP encourages all Users to trade responsibly and with caution.
XP is committed to protect the platform and ensuring its services remain secure and continuously available. If the system needs to be taken offline for maintenance or technical reasons, XP will notify users in advance. However, XP is not responsible for service interruptions caused by events beyond its control—such as natural disasters, force majeure, government actions, cyberattacks, terrorist activities, or other unexpected situations.
XP has the right to cancel, reverse, or close any unusual or suspicious trades on its platform. XP will never ask you for your password or request that you transfer assets on its platform. You must not allow anyone else to use your account to access XP services. Be cautious when receiving offers, discounts, or promotions, as some may be scams. XP is not responsible for any losses or damages caused by these situations. By using the XP service, you agree that you have read, understood, and accepted all the information in the Terms of Service as accurate and complete.
6.XP ACCOUNT SET UP AND REQUIREMENTS REGISTRATION
To use the website, go to https://xp.com signup and create a new XP account. During the registration process, you’ll need to provide your real name, personal details, home address, ID or registration number, email address, and a password. You’ll also need to agree to the Terms of Conditions
and Privacy Policy. In certain cases, we may have the right to refuse a user's registration or deny the creation of an account.
USERNAME AND IDENTITY VERIFICATION
By registering for the XP service and opening an account, you agree to provide your personal information. This information is used to help detect and prevent money laundering, terrorist financing, fraud, scams, and other financial crimes on the XP platform. We may also contact you directly, or through a third party, to verify your identity and protect against these types of illegal activities.
To verify your identity, we will collect certain information from you, including (but not limited to) your full name, email address, contact details, phone number, username, and national ID.
Your information will be considered verified once you provide all the required details. If any of your information changes after registration, you must update and re-verify it promptly. You are responsible for making sure all the information you provide through the XP service is true, complete, accurate, and kept up to date.
If XP finds that any of your information is incorrect, false, outdated, or incomplete, we may ask you to update or delete it—or suspend or cancel part or all of the services.
If we’re unable to contact you using the information you provided, you will be solely responsible for any resulting damages or costs. Therefore, it’s your responsibility to keep your details up dated. If your information changes, you agree to email us at contact@xp.com , attaching a certified true copy of the updated information, verified by the appropriate authorities.
7.ACCOUNT USAGE
7.1 In order to make better use of the services under this Agreement, the User may register for a XP account and, after registering for an account, keep the account and password secure and be responsible for all actions taken through and in relation to the account.
7.2 When registering for a XP account, the User shall fill in the relevant registration information truthfully and completely in accordance with the registration instructions and update such registration information in a timely manner, ensuring that such registration information is true and valid at all times from the time of registration to the time of cancellation of the account, and that there shall be no errors, falsehoods or illegal content. The user shall be responsible for any consequences resulting from the user's registration information being incorrect, false or illegal, whether or not it is made public.
7.3 Regardless of the method of account registration chosen by the User, the ownership of the User's account shall belong to XP and the User shall only be granted the right to use the account upon completion of the registration application process and such right to use shall belong to the initial applicant only. The initial applicant may not give, borrow, rent, transfer or sell the account or otherwise permit the use of the account by a person other than the initial applicant. The non-initial applicant may not use the account by gift, inheritance, lease, assignment or any other means.
7.4 It is the responsibility of the User to maintain the security of the account information and the password for the account and the User is legally responsible for the registered account and actions under the password. The User agrees not to disclose account and password information to others under any circumstances. In the event that the User suspects that someone else is using his/her account and password, the User shall immediately notify XP.
7.5 XP reserves the right to recall an account if the user does not log into the account for a long period of time, uses, displays or runs the same account on multiple terminals at the same time or is suspected of violating the relevant provisions of this Agreement and separate agreements of XP, and the user shall be responsible for any losses arising therefrom.
7.6 During registration and use of the Service, we may collect information relating to your geographical location, language and time zone, device model, etc. to form an indirect user profile. It is important to note that the above information is collected and used in a de-identified manner and the results of the data analysis will not be linked to a specific user identity.
8.INFORMATION SECURITY
8.1 This application account has security protection functions. You are responsible for keeping your username and password information properly. XP will not be liable for any actions taken under your account. This application will use security measures such as encrypting user passwords to ensure that your information is not lost, abused or altered. Despite the aforementioned security measures, please also note that there are no "perfect security measures" on the information network.
8.2 When using this application network service for online transactions, you will inevitably disclose your personal information, such as contact information or postal address, to the counterparty or potential counterparty. Please protect your personal information properly and provide it to others only when necessary. If you find that your personal information has been leaked, especially the user’s name and password of this application, please contact the customer service of this application immediately so that this application can take corresponding measures.
8.3 XP uses industry-standard security measures to protect the funds in user accounts. However, there are still risks based on how users manage their accounts. It's important that you take steps to protect your personal information and account details to avoid unauthorized access or misuse of your XP account.
8.4 You agree to the following:
Notify XP immediately if you suspect that someone else is using your account or if there’s any security issue.
Follow all XP security rules and guidelines related to using the website, logging in, trading, adding funds, and making withdrawals.
Always log out properly after using the website.
XP is not responsible for any loss or damage that happens if you don’t follow these security steps.
9.USE OF COOKIES
9.1 In order to provide you with an easier access experience, when you visit our related websites or use the services we provide, we may identify you through small data files. This will save you the step of repeatedly entering registration information. Or help determine the safety of your account. These data files may be Cookies, Flash Cookies, or other local storage provided by your browser or associated applications (collectively, "Cookies").

10.CHANGES AND DISRUPTIONS TO SERVICES
10.1 Given the specific nature of the Web Services, the User agrees that XP may change or discontinue some or all of the Web Services and delete (no longer keep) any information submitted by the User in the course of use, without notice to the User and without any liability to any User or any third party.
10.2 XP is required to test or update the platform on which the Web Services are provided on a regular or occasional basis, and XP shall not be liable for any interruption of the Web Services for a reasonable period of time due to such circumstances.
10.3 In order to improve the user experience and service content, XP will provide software updates from time to time, which may take the form of software replacements, modifications, feature enhancements and version upgrades. XP does not guarantee the continued availability of older versions of the software and the corresponding customer service, so please download the latest version in a timely manner.
11.HANDLING DISPUTE AND APPLICABLE LAW
XP establishes a robust dispute resolution mechanism to address trader complaints and disputes promptly and impartially. Traders can contact XP directly via email, the website or phone call.
User can access to XP's customer support for efficient issue resolution. XP has employed dedicated support staff, who will recourse on every user’s request.
Any dispute related to this Agreement or the Services - including violations of others' rights, breaches of laws or regulations, unusual trading activity, or issues not specifically mentioned in the Terms of Service - will be settled through arbitration in the Kingdom of Cambodia. The process will follow the Arbitration Rules of the National Commercial Arbitration Center (NCAC Rules), which are considered part of this Agreement.
The arbitration will be handled by a single arbitrator, and the proceedings will be conducted in English. This Agreement is governed by the laws of Cambodia. By agreeing to these terms, you also agree to cover any costs related to resolving disputes.
12.GUIDELINES FOR ACCESSING AND USING XP SERVICES
As a user, it is essential to adhere to the following terms and conditions while utilizing XP services:
Ensure compliance with relevant laws, regulations, and guidelines when using XP services.
Avoid actions that could harm the public interest, ethics, or the legitimate rights of others.
Do not evade taxes or fees owed, and refrain from violating this Agreement or applicable regulations.
Do not employ XP services for any prohibited business activities.
Do not engage in fraudulent or malicious behavior concerning XP services.
The user will bear full responsibility for any legal repercussions resulting from breaches of the aforementioned terms and conditions and will be accountable for all damages and costs incurred by XP due to such violations.
Users are strictly prohibited from using any information or content available on this website for commercial purposes without obtaining prior written permission from XP. All users must adhere to the Terms of Service and Privacy Policy, and must not disrupt or interfere with the normal operation of XP. Additionally, users are expected to comply with all applicable laws of the Kingdom of Cambodia. Prohibited activities include, but are not limited to, the following:
Using any devices or software that disrupt or interfere with the functioning of the XP website.
Sending an excessive number of information requests that may overload or strain the network infrastructure.
Engaging in buying or selling activities that negatively impact the integrity or fairness of the market.
By accessing and using the XP service, you acknowledge and agree that, in the event of any of the aforementioned breaches or violations, XP reserves the right to take appropriate actions without prior notice or consent from the User. Such actions may include, but are not limited to, the following:
Suspend or delay the processing of order requests.
Temporarily or permanently freeze the User’s account.
Report the violation to the appropriate legal or regulatory authorities.
Disclose the breach and any corresponding actions taken by XP.
Remove any content published by the User that relates to or results from the violation.
In cases where the User’s actions result in harm to a third party, the User shall bear full legal responsibility and shall indemnify XP for any resulting damages, penalties, or additional expenses incurred.
If a third-party file a claim for damages due to a User’s breach, or if XP incurs losses or penalties as a result of regulatory or administrative actions, the responsible User shall be obligated to fully compensate XP for all associated costs and damages, including legal fees and attorney’s charges.
13.SERVICE FEE
XP reserves the right to charge service fees to Users who access or make use of its services. The amount and structure of such fees shall be determined solely at the discretion of XP.
14.LIABILITY
TERMS OF SERVICES
XP offers its services on an "as-is" and "as-available" basis for situational and commercial use, and does not provide any guarantees regarding the reliability, stability, accuracy, or completeness of its service technologies. XP functions solely as a platform for accessing coin-related information and facilitating coin-related transactions. XP does not oversee or guarantee the quality, security, or legality of any coin being traded, nor does it verify the accuracy of transaction details or the ability of parties involved to fulfill their obligations. Users are strongly encouraged to carefully evaluate the risks, transaction details, underlying rationale, and legal implications of any investment decision before using XP's services.
LIMITATION OF LIABILITY
By using the service, you acknowledge and agree that XP shall not be held liable for any damages incurred by the User under the following circumstances, including but not limited to:
Loss of profits, goodwill, usage, data, or other intangible losses;
Inability to use or decisions made regarding the use of XP services;
Unauthorized access to your account or unauthorized changes to your personal information by a third party;
Misinterpretation or misunderstanding of XP services;
Any other losses not directly caused by XP, as well as indirect losses related to the use of XP services.
XP shall not, under any circumstances, be held liable for service interruptions or delays resulting from external events beyond its control, including but not limited to power outages, natural disasters, issues originating from third-party service providers, government actions, or routine network maintenance.
Furthermore, XP, along with its affiliates, shareholders, directors, officers, employees, legal representatives, agents, suppliers, and contractors, shall bear no liability whatsoever for any commercial services, developer resources, or other materials provided under this Agreement.
COMPENSATION
By entering into this Agreement, you acknowledge and agree that, in the event of a breach, you are fully responsible for compensating all resulting damages - including legal fees and any penalties imposed by relevant authorities. You also agree to indemnify and hold harmless XP, its affiliates, contractors, licensors, directors, employees, and agents. This obligation extends to any violations of applicable laws, regulations, or third-party rights that occur during your use of XP services.
15.ANNOUNCEMENT
All official announcements, news, promotions, and contests will be made available on the website at https://xp.com XP shall not be held responsible for any loss or damage incurred by the User due to failure to review or act upon the information provided in these announcements
16.TERMINATION OF SERVICE
16.1 XP shall have the right to terminate the provision of the Services to the User under the following circumstances:
(1) If you break the rules in this Service Agreement, XP has the right to stop providing services to you. If you try to register again—whether using your own name, someone else’s name, or in any other way - XP can immediately end your access to the services again as soon as they find out.
(2) If XP tries to contact you using the information you gave during registration and finds that it no longer works, XP will try to reach you using other contact details. If you don’t update your contact information within three working days after being notified, XP can stop providing services to you.
(3) Users are not allowed to cheat or fake activity, whether by using software or doing it manually. If XP finds out that a user is cheating, it will immediately stop the service and may keep the assets in that user’s account.
(4) Once XP finds that the data or information provided by a user contains false content, XP has the right to terminate the service to that user at any time.
(5) Upon termination or renewal of these Terms of Service, the user expressly does not wish to accept the new Terms of Service.
(6) And any other circumstances that XP deems necessary to terminate the service.
16.2 Once the services are ended, XP doesn’t have to keep any information from your old account or send you or anyone else any messages or data that weren’t read or sent.
16.3 The User understands and agrees that even if this Agreement ends and the services are stopped, XP still has the right to:
(1) Keep your User Information.
(2) Hold you responsible for any legal violations or breaches of this Agreement and the Platform Rules that happened while you were using XP's services.
17.ASSETS LEFT AFTER ACCOUNT CLOSURE
If an account is closed as part of an investigation into money laundering, fraud or a violation of the Terms of Service (such as trading on XP despite a ban), XP will lock the account and may share the User’s information with the relevant authorities.
18.NOTICE ON UNSUPPORTED VIRTUAL ASSET
If a coin or token traded by the User is no longer supported on the XP platform, and the remaining balance is below the minimum withdrawal limit, XP will convert the balance into a stable coin using the exchange rate on the date the coin/token was delisted. The converted amount will then be credited to the User’s XP account.
19.COMPLIANCE WITH DOMESTIC LAWS AND REGULATIONS
Users are required to follow all applicable local laws when using XP services. This includes fulfilling any tax-related obligations, such as payments, deductions, and reporting, in accordance with domestic laws and regulations. By using XP, all Users confirm that their funds come from lawful sources and have not been acquired through illegal means. XP reserves the right to cooperate with law enforcement agencies worldwide and may close or cancel the accounts and assets of Users under investigation.
20.PRIVACY POLICY
XP has the right to modify any content of this Privacy Policy at any time. Once any content of this Terms of Service changes, XP will prompt users to modify the content through appropriate methods. If you continue to use our services, you agree to be bound by the revised Privacy Policy.
21.DISCLAIMER AND INDEMNITY STATEMENT
21.1 If XP has indicated changes in the provision of its services and reminded the User of the precautions to be taken, the User shall be responsible for any consequences arising from failure to comply with the requirements.
21.2 The User expressly agrees that his use of the XP is entirely at his own risk and that all consequences arising from his use of the XP shall be at his own risk.
21.3 The User agrees to protect and defend the interests of XP and other Users, and the User agrees to bear liability for damages caused to XP and any other third party as a result of the User's use of XP in a manner that is unlawful, untrue, improper, or infringes the legitimate rights and interests of a third party, or as a result of the User's breach of any of the terms and conditions under this Agreement.
22.FORCE MAJEURE
XP shall not be held responsible for any losses or delays in service caused by events or circumstances beyond its control, including but not limited to floods, earthquakes, extreme weather, natural disasters, fires, wars, civil unrest, strikes, pandemics, labor disputes, accidents, government actions, communication or power outages, equipment malfunctions, software failures, or cyberattacks.
23. MODIFICATION OF THE TERMS OF SERVICE
23.1 XP reserves the right to amend any of these Terms of Service at any time. In the event of any change to any of these Terms of Service, XP will advise the User of the amendment by appropriate means.
23.2 If the user does not agree with the changes made by XP to these Terms of Service, the user has the right to stop using the network services.
23.3 If the user continues to use the web service, the user is deemed to accept the changes made by XP to the Terms of Service.
